Welcome to LiuS Consulting (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, the HY candidate job search application (“HY App”), and any related products or services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About LiuS ConsultingLiuS Consulting provides: 

• Business consulting services 

• The HY App, a candidate job search platform that enables candidates to apply for jobs and includes basic candidate validation to help verify genuineness 

• Custom software development in the domains of transportation, healthcare, tourism, and security 

• Staff augmentation services

 

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Services.  When using the HY App or creating an account with us, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information, or that fail basic validation checks.

3. HY App

 Candidate Job Search and Validation : The HY App allows candidates to search for and apply to job opportunities.  As part of the Service, LiuS Consulting performs basic candidate validation intended to help assess whether a candidate appears genuine. This may include (but is not limited to) checks on provided information, documentation, or other reasonable verification steps. 

• Validation is basic and does not constitute a guarantee, warranty, or complete background check. 

• We do not guarantee that any candidate is suitable, qualified, or free from risk. 

• Employers and clients remain solely responsible for their own hiring decisions, additional screening, interviews, and compliance with applicable employment laws. 

• Candidates agree that the information they submit is true and accurate. Providing false or misleading information may result in removal from the platform and potential legal consequences.

LiuS Consulting is not a party to any employment relationship created through the HY App and acts only as a facilitator of the application and basic validation process.

 

4. Software Development Services

For software development projects in transportation, healthcare, tourism, security, or other agreed domains: 

• Scope, deliverables, timelines, and fees will be defined in a separate Statement of Work (SOW), Master Services Agreement, or project proposal. 

• You retain ownership of your pre-existing materials. Upon full payment, we assign to you the intellectual property rights in the custom deliverables specifically created for you, subject to any third-party components or open-source licenses. 

• We retain ownership of our pre-existing tools, frameworks, methodologies, and general know-how.

 

5. Staff Augmentation Services

Staff augmentation involves providing skilled personnel on a temporary or project basis. 

• Specific terms (roles, duration, rates, responsibilities, and replacement policies) will be set out in a separate agreement or SOW. 

• Augmented staff remain employees or contractors of LiuS Consulting (or our partners) unless otherwise agreed in writing. 

• Clients are responsible for providing a suitable work environment, necessary access, and compliance with workplace laws applicable to the engagement.

 

6. Business Consulting Services 

Consulting services are provided on a project or advisory basis. Recommendations are based on information available at the time and do not guarantee specific business outcomes. Clients remain responsible for implementing any advice.

 

7. Fees and Payment 

Fees for Services will be as quoted or agreed in writing. Payment terms are typically net 15 or net 30 days unless otherwise specified. Late payments may incur interest and/or suspension of Services. All fees are exclusive of applicable taxes.

 

8. Intellectual Property 

All content, trademarks, logos, software, and materials on our website and in the HY App (excluding user-submitted content) are owned by or licensed to LiuS Consulting and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.  User-submitted content (e.g., candidate profiles, resumes) remains the property of the submitter, but by submitting it you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display it as necessary to provide the Services.

 

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services, except as required by law or with prior consent.

 

10. Acceptable Use

You agree not to: 

• Use the Services for any unlawful purpose 

• Submit false, misleading, or fraudulent information 

• Attempt to reverse-engineer, hack, or interfere with the HY App or our systems 

• Scrape, harvest, or misuse data 

• Violate any applicable laws or third-party rights

 

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.  WE DO NOT WARRANT THAT THE HY APP OR ANY VALIDATION PROCESS WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY CANDIDATE IS GENUINE, QUALIFIED, OR SUITABLE.

 

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIUS CONSULTING AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.  OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR USD 100 IF NO FEES WERE PAID).

 

13. Indemnification

You agree to indemnify, defend, and hold harmless LiuS Consulting and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your submission of inaccurate or unlawful content.

 

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including intellectual property, limitation of liability, and indemnification) will survive termination.

 

15. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect the latest version. Continued use of the Services after changes constitutes acceptance of the revised Terms.

 

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Insert Governing Jurisdiction – e.g., the State of [State], India / Singapore / etc.], without regard to conflict of law principles.  Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably.
